US National Steel Installation and Sale Agreement
THIS INSTALLATION AND SALES AGREEMENT (THIS “AGREEMENT”) IS ENTERED INTO BY AND BETWEEN US NATIONAL STEEL (“USNS”) AND THE INDIVIDUAL LISTED BELOW (“YOU” OR “CUSTOMER”) AS OF THE DATE WRITTEN. THIS AGREEMENT CONTAINS VERY IMPORTANT INFORMATION REGARDING YOUR RIGHTS AND OBLIGATIONS, AS WELL AS CONDITIONS, LIMITATIONS, AND EXCLUSIONS THAT APPLY TO YOU. PLEASE READ IT CAREFULLY. - All units are to be secured with concrete anchors (concrete foundation) or recommended cross drive anchors (ground/gravel foundation).
- If USNS is unable to install the recommended ground anchors due to hardpack or solid rock, the customer will be responsible for installing concrete pier footings.
- Rebar anchors are for temporary use only, and USNS will be released from all liability if only rebar anchors are used.
- Failure to use proper anchoring voids all warranties.
- Foundation:
- Standard foundations: ground, gravel, asphalt, or concrete.
- Any other type of foundation may incur additional fees. Ask a USNS rep for details.
- Option 1: Concrete foundation must be 6″ wider and 6″ longer than the unit’s footprint.
- Option 2: Interior anchor upgrade requires the foundation to match the unit’s exact footprint.
- Option 3: Dirt, gravel, and asphalt installations use temporary pin anchors. Upgrades are required for wind rating compliance. Refusal voids warranties.
- Option 4: Other surfaces assessed per job.
- Layout of Structures:
- Height: Measured by side/wall/leg height, not peak.
- Length: Roof line is one foot longer than the base rail (e.g., 21′ building = 20′ base rail).
- Ends/Sides: Width = front/back, Length = sides (legs/posts sleeve into base rails).
- Dimensions are outside-to-outside measurements.
- Customer Responsibilities:
- A. Customer must ensure site dimensions fit the structure. A 25% restocking fee applies if it doesn’t fit.
- B. Site must be level within 2 inches. On-site leg cut fees or return trip fees ($650) apply if not level.
- C. Site must be clear of vehicles/debris. Standby fee: $150/hour. Build-over fee: $50 per 5 feet.
- D. Customer is responsible for permits. Certified structures are required for wind/snow ratings.
- E. Customer must provide/cover condensation barriers.
- Underground Utilities:
- Customer must mark underground utilities. USNS is not liable for damage.
- Site Access:
- Truck must access site within 100 feet. Otherwise, $250 fee applies.
- Unreasonable distance may result in rescheduling and a $650 return trip fee.
- Business restrictions must be disclosed during ordering.
- Equipment Rental Fee:
- Fee waived if customer provides suitable lift equipment (7k Lull lift, 42′ reach, all-terrain).
- Payment:
- 15% deposit required.
- 50% of remaining balance due upon fabrication.
- 25% due upon arrival to job site.
- Final 25% due upon installation completion.
- Refund/Cancellation Fee:
- This Purchase Order becomes binding upon signature and receipt of the initial deposit. The initial deposit secures the building price for up to one (1) year and is non-refundable except as otherwise provided herein.
- Once manufacturing of the unit has commenced, the Manufacturing Payment is non-refundable and the order may not be canceled.
- Prices, Payments, and Risk of Loss:
- Late payments accrue 12% interest annually or max allowed by law.
- Failure to pay or cooperate constitutes a breach.
- NSF checks incur $50 service charge.
- Right to Repossession: USNS retains ownership until full payment. Customer waives notice or judicial hearing.
- Delivery:
- Dates are approximate and subject to change.
- Scheduling depends on receipt of necessary documents, payments, and approvals.
- Delay Excuses:
- If delayed by customer, USNS may hold goods at customer’s expense or require immediate shipment.
- USNS is not liable for delays due to weather, strikes, disasters, or other uncontrollable events.
- Limited Warranty:
- 50-year structural warranty.
- 40-year side/end wall warranty.
- 20-year rust-through warranty (Certified Units).
- 1-year workmanship warranty.
- Non-certified units have a 30-day limited warranty.
- Warranty Disclaimer:
- No other warranties, express or implied.
- Remedy:
- Sole remedy is repair or replacement of nonconforming goods.
- Maximum liability is limited to purchase price.
- Warranty Limitations:
- Original purchaser only.
- Ceiling fans void warranty.
- Modifications without written approval void warranty.
- Self-installation voids all warranties.
- Claims Procedure:
- Written claim must be sent to USNS within 30 days of discovering the defect.
- Include defect description, proof of purchase, and installation address.
- USNS must inspect within 14 days.
- USNS owns all rights to custom designs.
- Customer assigns all rights to USNS.
- Governing Law: Florida law applies. Jurisdiction: Martin County, Florida.
- Mandatory Arbitration:
- Disputes resolved by arbitration in Martin County, Florida.
- Administered under Comprehensive Arbitration Rules and Procedures.
- Arbitration Costs:
- Unsuccessful party pays costs and attorney fees.
- Social Media Posts:
- No false/misleading statements online.
- USNS may use pictures/videos for marketing.
- Entire Agreement:
- Supersedes all prior agreements. Can only be amended in writing.
- Headings:
- For reference only, not legally binding.
- Survivability:
- Invalid provisions do not affect the rest of the Agreement.
- Waiver:
- Must be in writing. No implied waivers.
- Change Restrictions:
- No changes after 72 hours of order placement.
- Changes after this period will cancel this agreement. Any deposit paid may be applied toward a new agreement with an equal or greater purchase price.
- Seller will build as described in this contract only.
- Verbal agreements are not binding.
- Seller does not guarantee installation of customer-supplied components.
- Additions/modifications must occur after full payment and signed delivery certificate.
